Corporate Administrative Services
Trinity also provides corporate administrative services to investment vehicles and management companies, including the maintenance of statutory books and other registers, or duplicates of same, in accordance with respective local Company Law requirements. Trinity also assists in coordinating the necessary filings and other regulatory requirements with local authorities to assist in maintaining the good standing of the vehicle, by the frequent liaison with the appropriate local authorities and service providers.
The corporate administrative services also incorporate the convening of General Meetings and Board Meetings; to include the preparation and issue of Notices; Agendas; and Proxies, where appropriate, and attendance at such meetings for the purpose of the preparation of the appropriate minutes, where so required. Where meetings are not held, Trinity will prepare and circulate Written Resolutions of the Directors and Shareholders, as appropriate.
We also arrange for the completion of bank mandates and account documents, and adoption of the necessary Corporate Resolutions to facilitate the establishment of bank accounts, brokerage accounts and other contractual agreements, for funds to which we act as Secretary.
We also liaise with the Auditors to assist with the annual audit and with the Sponsoring Member-Firms of listed funds, to ensure that the continuing obligations of the Irish Stock Exchange are adhered to.
In addition, Trinity Fund Administration Limited provides a registered office facility to Irish incorporated Funds.
Listing on the Irish Stock Exchange
A listing on the Irish Stock Exchange offers a fund added credibility as well as comfort to its investors. In addition, a listing on a recognised Stock Exchange is also a pre-requisite in order for some institutional investors and pension funds to invest. Ireland's status as a member of the EU and the OECD makes a listing on the Irish Stock Exchange even more attractive.
At Trinity we can assist in obtaining a listing on the Irish Stock Exchange for a fund, by advising on the selection of a Sponsoring Member-Firm, and liaising with the Sponsoring Member-Firm and others to arrange for all the necessary documentation and other procedures to be completed in accordance with the requirements of the Stock Exchange.
